Director, Legal Transactions

 

Location: US, Germany, or United Kingdom.  Remote option 

 

The Director Legal Transactions will be a key member of the Global Transactions Legal team, reporting to the head of the Legal Transactions team. Our group leads the support of the business development, corporate strategy, alliance management, external innovations*, global health strategy* and Scientific Relations and Liaisons team within the BioNTech Group. Our business partners oversee the entire lifecycle from origination to deal execution, implementation and iteration for all M&A, investments, collaborations, and complex licensing arrangements (“Transactions”) with businesses, academic institutions, governments, NGOs and other counterparties.

 

Role and Responsibilities:

  • independently drafting, reviewing, and negotiating a wide range of global and regional business agreements and addressing associated legal correspondence, with a focus on collaborations and complex licensing transactions.
  • ensuring strategic stakeholders are engaged and providing necessary feedback early leading the legal aspects of due diligence and related matters for such transactions.
  • providing strategic advice to internal business partners and, if required, senior management by performing any legal/business risk assessments in connection with such transactions or alliance management.
  • taking a leading role in the development, implementation and improvement of policies, templates, training, and processes for complex licensing activities to support business operations.
  • advising, or liaising with other members of the legal team, on other ad hoc corporate, commercial, regulatory and litigation matters as they arise.

Minimum requirements: 

 

  • Qualified solicitor in the UK or common law jurisdiction, fully qualified European lawyer or US attorney (JD).
  • At least 10 years of relevant legal experience in the biotech/pharmaceutical industry, including significant firm and in-house experience. A minimum of 8 plus years transaction experience representing clients in highly regulated industries.
  • Substantial experience advising business development and senior management on transactions and negotiations.
  • Supportive interpersonal team player skilled in working effectively with people across a wide range of disciplines in a complex and fast-moving corporate environment.
  • Practical, clear, creative, solution-oriented and hands-on approach.  Exceptional written and verbal communication skills in English. Ability to convey even highly complex legal advice to internal stakeholders (including senior management).
  • Organized, responsible and detail-oriented.  Capable of working independently and able to understand and incorporate legal guidance into work product.
  • Team player with a strongly positive, can-do attitude.  High degree of personal ethics, integrity and accountability.
  • Ability to prioritize, meet deadlines, exercise sound business judgment with critical thinking skills and thrive in fast-paced / high volume environment.
